ARTICLE 1 – Definitions
These Terms and Conditions of Use (TCU) may be subject to future amendments.
Within the TCU and on the Website, each of the following terms should be understood as defined below.
Data: Refers to all data transmitted by the User on the Website.
Parties: The User and SPAC Alliance collectively and individually referred to as the “Party.”
Websites: Refers to the websites accessible at the URL: www.spac-alliance.org, either directly or via redirections.
SPAC: A Professional Union governed by the provisions of the law of March 21, 1884, and subsequent laws applicable to professional unions, as well as its bylaws filed on March 2, 2019, with the Aix-en-Provence City Hall in accordance with Article L.2131-3 of the French Labor Code.
Its headquarters are located at Campus Cyber Région Sud, Tour Mirabeau, 4 Quai d’Arenc, 13002 MARSEILLE – France
User(s): Any legal or natural person using the Websites.
ARTICLE 2 – Contractual Documents
The contractual documents are these TCU and the SPAC Alliance privacy policy.
The TCU define the conditions under which SPAC Alliance grants the User a personal and non-exclusive right to access the Websites.
ARTICLE 3 – User Obligations
The User agrees to comply with these TCU.
Specifically, the User commits to input and transmit Data accurately, following the prescribed formats, methods, and frequencies.
The User is solely responsible for ensuring the accuracy and completeness of the transmitted data.
The User must keep their login credentials confidential.
Website usage by the User must not contravene any applicable national or international laws, regulations, codes of conduct, or ethical standards.
The User agrees not to infringe the rights of third parties through their behavior or the information they process, including but not limited to:
- Distributing materials protected by intellectual property rights;
- Publishing defamatory, offensive, or privacy-violating content, or content contrary to public order or morality.
The User acknowledges being solely responsible for the data processed and stored via the Websites.
The User indemnifies SPAC Alliance against any claims from third parties, including legal costs and fees for attorneys, bailiffs, and experts incurred in defending SPAC. The User commits to indemnify SPAC Alliance for any damages directly or indirectly resulting from their use of the Websites.
The User recognizes the inherent risks of the Internet and limitations regarding data security, acknowledging the impossibility of a total guarantee for secure data exchanges.
ARTICLE 4 – Proof Agreement
By mutual agreement, computer records maintained by SPAC Alliance serve as proof of transmissions and processing. It is SPAC Alliance’s responsibility to store these records under conditions ensuring data security and integrity.
All account usage-related elements will be stored and archived by SPAC Alliance. SPAC Alliance may rely on any records, files, reports, or statistics in any format, including electronic formats, as evidence.
ARTICLE 5 – Intellectual Property
The entire Website is protected by French and international copyright and intellectual property laws. All reproduction rights are reserved, including for downloadable documents and graphic representations.
Any partial or full reproduction or exploitation of the Websites, by any means, without prior written authorization from the Website Administrator is prohibited and constitutes infringement under Articles L.335-2 et seq. of the Intellectual Property Code.
By exception, for educational purposes, the reproduction of texts from the Websites on paper is permitted, provided the following conditions are met:
- Free distribution,
- Distribution under the User’s exclusive responsibility,
- Respect for document integrity: no modifications or alterations, adherence to copyright laws,
- Clear and visible citation of the source, including the Website’s URL.
Hyperlinks to other websites or resources on the Internet do not imply SPAC Alliance’s liability.
Collecting personal information to populate databases for commercial or advertising purposes is prohibited. SPAC Alliance cannot be held liable for any damage or virus that might infect your computer or other hardware due to access to or use of the Website or downloaded content.
All texts and illustrations on the Website are copyrighted. Reproduction for personal use is allowed, but unauthorized modification or distribution is prohibited.
ARTICLE 6 – Liability
SPAC Alliance is only bound by a best-efforts obligation concerning Website accessibility.
SPAC Alliance shall not be held liable for service interruptions or damages caused by:
- Force majeure or governmental decisions;
- Electricity or telecommunications disruptions from providers;
- Fraudulent or abnormal use requiring service suspension for security;
- Hardware or software malfunctions or misuse by the User;
- Unauthorized third-party intrusion or data extraction despite security measures;
- Data or content created or shared by the User;
- Delays in information or data transmission;
- Internet or telecommunications network malfunctions not implemented by SPAC Alliance.
SPAC Alliance’s liability excludes indirect or non-material damages by mutual agreement.
ARTICLE 7 – Waivers
Any tolerance or waiver by one Party regarding the enforcement of the TCU shall not constitute a modification or a waiver of rights.
ARTICLE 8 – Governing Law and Contract Language
By mutual agreement, the TCU are governed exclusively by French law.
The contract arising from the TCU is written in French. If translated, the French version prevails in case of dispute.
ARTICLE 9 – Disputes
ANY DISPUTE REGARDING THE EXECUTION, INTERPRETATION, OR TERMINATION OF THIS AGREEMENT SHALL BE SUBMITTED TO THE EXCLUSIVE JURISDICTION OF THE COURT OF MARSEILLE, INCLUDING SUMMARY PROCEEDINGS, DESPITE MULTIPLE DEFENDANTS OR GUARANTEE CLAIMS.
